The US IPO Advisory Manager role is a key position within the US IPO Advisory practice, focusing on providing accounting and SEC reporting advice to foreign emerging companies, especially startup companies preparing for public offerings in the US markets, with an emphasis on Japanese companies. Bilingual or fluent Japanese language skills are preferred. As the US IPO Advisory Manager, you will work closely with clients, SEC legal counsel, external auditors, and subject matter experts within the firm. Your responsibilities include leading the preparation of financial statements, SEC reports, and supporting clients through external audit requirements.
Lead the preparation of financial statements and financial sections of SEC reports.
Lead preparations for external audit requirements, including drafting accounting position memos.
Lead/participate in discussions with clients, external auditors, and legal counsel, maintaining effective relationships.
Stay updated on industry, SEC reporting, and accounting developments, applying solid knowledge to ensure accurate SEC report preparations.
Collaborate with subject matter experts to ensure high-quality financial statements and SEC reports.
Drive process efficiencies and continuous improvement efforts within the US IPO Advisory practice.
Lead/participate in special projects and ad-hoc requests.
Minimum 6+ years of accounting and financial analysis/reporting experience, including exposure to SEC Form 10K/20F/S-1/F-1/S-4/F-4 reporting and USGAAP/IFRS financial statements.
Bachelor's degree in accounting.
Knowledge of JGAAP and/or IFRS, USGAAP, SEC Reporting, and Internal Control over Financial Reporting.
Experience in new client development and proposals.

Regulation S-X and S-K experience a plus.
Sarbanes-Oxley 404 experience a plus.
PCAOB Audit experience a plus.
