Job Title: Corporate Paralegal
Location: Miami, FL
Salary: Up to $120,000 per year
Responsibilities:
- Form, merge, and dissolve entities.
- Prepare documents for filing with Departments of State and other jurisdictions; work with outside agents for filing out-of-state documentation; following up on filings.
- Assist with corporate transactions including mergers & acquisitions, capital market transactions, venture capital investments, financing, and private equity.
- Prepare Stock Certificates.
- Prepare and revise organizational charts.
- Maintain closing checklists and documents for corporate transactions.
- Retrieve public records.
- Prepare and file UCC Financing statements.
- Perform research of UCC and laws governing business organizations.
- Perform UCC/lien searches.
- Coordinate document retrieval from government agencies, review corporate public records, and draft analyses.
- Maintain corporate minute books.
Requirements:
- 3 to 5 years of corporate and transactional experience.
- Superior organizational skills and ability to handle a high volume and fast-paced environment.
- Attention to detail and ability to complete tasks in a timely manner.
- Initiative and ability to work independently.
- Motivated individual with a passion for working in the corporate arena.
- Proficient in Microsoft Office suite.
- Experience with corporate transactional work, including mergers & acquisitions, capital market transactions, venture capital investments, financing, and private equity.
