Apply to Corporate Paralegal (Law Firm M&A Experience)
We are conducting a search for an experienced Corporate Paralegal with our large global law firm client to join their Los Angeles office.

- Mergers and acquisitions, including: organizing data rooms and coordinating due diligence; preparing and maintaining closing checklists; drafting board and stockholder consents; and coordinating signings and closings
- Equity financings, including: LLC financings; venture capital financings; and experience preparing and coordinating securities filings, including Form ID, Form D and state blue sky filings
- General corporate, including: entity formation; drafting board and stockholder consents and meeting minutes; preparing stock certificates; drafting documents for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and LLCs; DocuSign; and Carta and other cap table management tools
- Experience in secured financing transactions and UCC filings is helpful but not a requirement.
What You'll Bring
- At least 5 years of current or recent large law firm experience
- Successful candidates will have superior academics, excellent drafting, writing and analytical skills, accurate and strong attention to detail, high level of organization and ability to handle a variety of projects simultaneously, and strong verbal and interpersonal skills.
